These Terms of Service govern access to the Black Spruce Research website and purchases from our store. By accessing the website, submitting an order or purchasing a product, you agree to these Terms and our Privacy, Refund and Shipping Policies. If you do not agree, do not use the website or place an order.
1. Eligibility and age
You must be at least 19 years old and legally capable of entering a binding agreement to use the store or purchase products. By placing an order, you represent that the information you provide is complete and accurate and that your purchase and intended activities are lawful in your jurisdiction.
2. Research products and intended use
Products identified as research materials are sold solely for laboratory, analytical and research purposes. They are not sold for human or veterinary consumption, diagnosis, treatment, prevention or cure; food, drug, cosmetic or household use; compounding; or administration to a person or animal.
By placing an order, you confirm that you are purchasing the products for research purposes and will handle, store, use and dispose of them responsibly and in accordance with applicable requirements. We do not investigate or approve a customer's research activities. We may refuse or cancel an order if we reasonably believe it involves fraud, a prohibited destination or a use expressly prohibited by these Terms.
3. No medical advice or therapeutic claims
Website content is provided for general informational and research-context purposes only. It is not medical advice, a diagnosis, treatment advice, prescribing information or an instruction for human or veterinary use. References to published research, mechanisms, possible applications or reported findings do not establish safety, effectiveness, approval or suitability for any use and must not be interpreted as a therapeutic recommendation.
4. Compliance
We sell and ship research products only within Canada. Product availability remains subject to applicable requirements and carrier restrictions. We may remove a product, refuse service, cancel an order or issue a refund when reasonably necessary to operate the store or address a legal, payment, fraud or shipping concern.
Customers are responsible for ensuring that their purchase, possession, handling and use comply with the requirements that apply to them. Black Spruce Research remains responsible for the obligations that apply to it as a seller.
5. Product handling and information
Customers must follow the product label and any supplied storage, handling and safety information. Website summaries are general product information and are not a substitute for a certificate of analysis, safety information or a customer's own research procedures.
Product photographs, packaging and descriptions are illustrative. We aim to display information accurately, but colours, labels or packaging may appear differently on different devices or may change without notice where the identity and specifications of the ordered product are not materially affected. Any material substitution requires customer agreement where required by law.
6. Orders and acceptance
Submitting an order is an offer to purchase. An automated confirmation acknowledges receipt but does not necessarily mean that we have accepted the order. We may confirm payment, inventory, shipping information and suspected fraud before accepting or fulfilling an order.
We may reject or cancel an order for reasons including unavailable inventory, pricing or description errors, payment issues, suspected fraud, quantity limits, shipping restrictions or legal and regulatory concerns. If we cancel an order after receiving cleared funds, we will return the amount paid for the cancelled portion, subject to applicable law.
7. Prices, taxes and payment
Prices are stated in Canadian dollars unless clearly indicated otherwise. Applicable taxes, shipping charges and the complete order total will be presented during checkout. Payment must be made using an available method and in accordance with the checkout instructions. An order may remain unpaid or unaccepted until funds are confirmed.
You are responsible for entering the correct order number or other requested reference when making a manual payment. Do not send payment to an address or account that was not displayed through our official checkout or confirmed through info@blackspruceresearch.ca.
8. Shipping, returns and refunds
Shipping, delivery issues, returns and refunds are governed by our Shipping Policy and Refund Policy, which form part of these Terms. Nothing in these policies limits a mandatory legal right or remedy.
9. Acceptable use of the website
You must not use the website to break the law; interfere with security or operation; introduce malicious code; scrape or access the store through unauthorized automated means; impersonate another person; provide fraudulent information; infringe intellectual-property or privacy rights; or purchase products for a prohibited use or unauthorized resale.
10. Intellectual property
The website and its original text, branding, graphics, photographs, layout and other content are owned by or licensed to Black Spruce Research and are protected by applicable intellectual-property laws. You may use the website for personal, non-commercial evaluation and lawful purchasing. No other licence is granted without written permission.
11. Third-party services and links
The store may rely on or link to third-party platforms, carriers, payment services and websites. Their services are governed by their own terms and privacy practices. We are not responsible for third-party content or services except to the extent responsibility cannot legally be excluded.
12. Disclaimer and limitation of liability
To the fullest extent permitted by law, the website and its content are provided on an “as available” basis without warranties not expressly stated in these Terms. We do not guarantee uninterrupted or error-free access or that general informational content will be complete or current.
To the fullest extent permitted by law, Black Spruce Research and its owners, personnel and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss arising from use of the website or a product, including loss resulting from prohibited, improper or unauthorized use. Where liability cannot legally be excluded, it is limited only to the extent permitted by law.
Nothing in these Terms excludes liability or a warranty, condition, right or remedy that applicable law does not permit us to exclude or limit. Consumer-protection rights that apply to a customer remain in effect.
13. Indemnity
To the extent permitted by law, you agree to indemnify Black Spruce Research against third-party claims, losses and reasonable costs arising from your unlawful conduct, prohibited use of a product, violation of these Terms or infringement of another person's rights. This provision does not apply to the extent a claim results from our own breach of law or obligations that cannot be excluded.
14. Privacy and electronic communications
Our collection and handling of personal information is described in our Privacy Policy. By providing contact information with an order, you agree to receive communications reasonably necessary to process and support that transaction. Promotional email or SMS communications will be handled separately in accordance with applicable consent and unsubscribe requirements.
15. Changes
We may update the website, policies and these Terms prospectively. The version posted when an order is placed generally governs that transaction, subject to applicable law. Continued use of the website after revised Terms are posted means you accept the revised Terms for future use.
16. Governing law
These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law principles. This provision does not deprive a consumer of mandatory protections available under the laws that apply to them.
17. Severability and entire agreement
If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue to apply. These Terms and the policies referenced in them form the agreement concerning use of the store and purchases, except for additional terms expressly agreed to in writing.
